By accessing or using our website, applications, secure login portal, or related Services, you agree to these Terms and our Privacy Policy, as each may be updated from time to time.

2. Use of the Services
The public-facing portions of the Services are provided for general informational and business purposes only.
You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws, regulations, contractual requirements, and posted policies. You may not:

3. Secure Login Portal and Authorized Access
Certain parts of the Services, including the Xport Health secure portal and other restricted environments, are available only to authorized users, including healthcare professionals, patients, caregivers, organizational partners, staff, or other approved users.
Access to restricted portions of the Services requires authentication and may involve the collection, storage, transmission, display, or processing of protected health information (“PHI”), personal information, health-related information, confidential information, or other regulated data.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You may not share credentials, allow unauthorized use of your account, or attempt to access data or systems beyond the scope of your authorization.
Unauthorized access, credential sharing, misuse of the Services, or attempts to bypass security controls are strictly prohibited and may result in suspension or termination of access, reporting to applicable organizations or authorities, and legal action.
4. Privacy, Data Use, and Third-Party Supported Features
Your use of the Services is subject to our Privacy Policy, which describes the categories of information we may collect, how we collect that information, how we use it, and how we may share it.
Xport Health may use third-party service providers, contractors, subprocessors, infrastructure providers, analytics providers, interoperability providers, communications providers, security providers, and AI-enabled or automated service providers to operate, support, secure, maintain, and enhance the Services.
Where permitted by law and consistent with our Privacy Policy, Xport Health may use third-party-supported, automated, algorithmic, or AI-enabled features in connection with the Services. When additional notice, consent, or user choice is required before transmitting information in connection with a third-party-supported feature, Xport Health may provide that notice or consent flow within the app, at the point of use, in the user profile, through feature-specific terms, through the Terms of Service, or through another legally sufficient method.
By using a feature after receiving any required notice or consent request, you acknowledge and agree that information submitted through that feature may be processed in accordance with our Privacy Policy and any applicable feature-specific disclosures.
5. No Medical Advice
The public-facing portions of the Services are provided for general informational purposes only and do not constitute medical advice, diagnosis, or treatment.
Xport Health does not provide emergency services through the public website. Information made available through the Services does not replace independent medical judgment or consultation with a qualified healthcare professional.
If you believe you are experiencing a medical emergency, call 911 or seek immediate medical attention.
6. Intellectual Property
All content, software, technology, trademarks, service marks, logos, designs, text, graphics, workflows, compilations, and other materials made available through the Services are owned by or licensed to Xport Health, Inc. and are protected by intellectual property and other applicable laws.
Except as expressly permitted in writing by Xport Health, you may not reproduce, distribute, modify, display, publish, sell, license, create derivative works from, or otherwise use the Services or their content for commercial or unauthorized purposes.
7. User Responsibilities and Prohibited Conduct
You agree that you will not:

You are responsible for ensuring that any information you submit or authorize for submission through the Services is accurate to the best of your knowledge and that you have authority to provide it where required.
8. Availability, Modifications, and Suspension
Xport Health may modify, update, suspend, restrict, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.
We may also suspend or restrict access to the Services if we believe it is necessary to protect the security, integrity, availability, legality, or proper functioning of the Services or to prevent harm to users, providers, partners, or Xport Health.
9. Third-Party Links and Services
The Services may contain links to, or integrations with, third-party websites, tools, platforms, devices, services, or content that are not owned or controlled by Xport Health.
Xport Health is not responsible for the availability, content, accuracy, privacy practices, security, or performance of any third-party website, service, or resource, except as otherwise required by law or contract. Your use of third-party services may be subject to the terms and policies of those third parties.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Services and all content, functionality, and materials made available through them are provided on an “as is” and “as available” basis.
Xport Health disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted or error-free operation, except to the extent such disclaimers are prohibited by law.
11. Limitation of Liability
To the fullest extent permitted by law, Xport Health, Inc. and its officers, directors, employees, affiliates, licensors, contractors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunities, or other intangible losses arising out of or related to your use of, or inability to use, the Services.
To the fullest extent permitted by law, Xport Health’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount paid, if any, by you to Xport Health for the specific Services giving rise to the claim during the twelve months preceding the event giving rise to the claim.
Nothing in these Terms limits liability to the extent such limitation is prohibited by law.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Xport Health, Inc. and its officers, directors, employees, affiliates, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

13. Privacy and Security
Xport Health maintains administrative, technical, and physical safeguards designed to protect information in accordance with applicable law, contractual obligations, and our internal security standards.
However, no method of transmission, storage, or security is completely secure, and Xport Health cannot guarantee absolute security or uninterrupted availability of the Services.
14. Termination
Xport Health may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk for users or systems, or engaged in conduct that is unlawful, harmful, unauthorized, or inconsistent with the intended use of the Services.
Upon termination, provisions of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute-related obligations.
15. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the “Last Updated” date above and may provide additional notice where required by law.
Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent superseded by applicable federal law.
